On behalf of eBaoTech Corporation (eBaoTech), I am pleased to offer you a position in our

China Division.

Your title will be Senior Development Engineer, mainly responsible for software development.

You will report to Tony Tong.

1. Probationary Period

Your permanent employment will be confirmed upon completion of a two-month

probationary period.

2. Salary

Your total pre tax remuneration will be RMB8100 per month.

Salary is reviewed annually in December and any adjustments will be effective from First

of January of the next year, if applicable.

3. Benefit

You will have all the standard benefits, including pension contribution, medical insurance,

unemployment contribution, and housing contribution as required by Chinese labor law

and related rules in Shanghai, and as defined in the benefit plan of the company.

4. Annual Leave

You will be entitled to ten working days of annual leave for the first year. One additional

day will be added from the second year for each year worked with a cap of twenty-five

working days. Leave will be on full salary and may be taken at a time to be mutually

agreed when work commitments of eBaoTech permits.

5. Notice Period

This agreement may be terminated immediately during the probationary period and with

30 day‘s notice thereafter. Leave may not be taken during this notice period. However, this

does not preclude eBaoTech from effecting dismissal without notice or payment in lieu on

the grounds of misconduct or serious misdemeanors.

6. Professional Ethics Requirements

You will be requested to sign confidentiality and non-competing agreement. You must at

all times keep secret the affairs of eBaoTech and its clients.

7. General

You may not undertake any part-time employment after the office hours without written

consent of the Vice President of your related Business Unit or Department.

Your employment shall be governed and regulated by the Policies of eBaoTech, which

may be changed from time to time.

8. Starting Date:
